COSMICK MEDIA TERMS OF SERVICE

IMPORTANT A2P 10DLC AND MOBILE MESSAGING NOTICE

The Cosmick Media Messaging Program is a first-party messaging program operated solely by Cosmick Media, Inc. for people who directly and affirmatively opt in to receive messages from Cosmick Media.

Cosmick does not use this messaging program for affiliate marketing, third-party lead generation, purchased leads, or marketing the products or services of Cosmick’s clients, partners, affiliates, or other third parties. All marketing messages sent through this program concern Cosmick Media’s own products, services, events, or offers.

Consent is requested separately through a clear, optional, unchecked SMS consent box or another campaign-specific enrollment method. Consent is not bundled with acceptance of these Terms, submission of a general contact form, any purchase, or any other agreement. Providing a telephone number without separately opting in does not authorize recurring marketing text messages.

Cosmick does not sell, rent, buy, transfer, or share mobile telephone numbers, text-message opt-in information, or mobile messaging consent with any third party or affiliate for marketing or promotional purposes. Mobile information may be provided only to communications service providers and telecommunications carriers that process it solely to deliver, support, secure, and administer Cosmick’s messages. This Mobile Messaging Notice and Section 8 control over any provision that could otherwise be interpreted differently.

These Terms of Service (“Terms”) govern your access to and use of the websites, landing pages, online forms, portals, applications, content, communications, and other online services operated by Cosmick Media, Inc. (“Cosmick Media,” “Cosmick,” “we,” “us,” or “our”) that link to or reference these Terms (collectively, the “Services”). These Terms also contain the terms applicable to the Cosmick Media Messaging Program.

PLEASE READ THESE TERMS CAREFULLY. BY ACCESSING OR USING THE SERVICES, SUBMITTING INFORMATION THROUGH THE SERVICES, CREATING AN ACCOUNT, OR AFFIRMATIVELY ENROLLING IN THE COSMICK MEDIA MESSAGING PROGRAM, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, DO NOT USE THE SERVICES OR ENROLL IN THE MESSAGING PROGRAM.

1. Eligibility and Authority

1.1 Age Requirement

You must be at least eighteen (18) years old and have the legal capacity to enter into a binding agreement to use the Services or enroll in the Cosmick Media Messaging Program.

1.2 Business Users

If you use the Services on behalf of a business or other organization, you represent and warrant that you have authority to bind that organization to these Terms. In that case, “you” and “your” include both you and the organization.

1.3 Compliance with Law

You may use the Services only in compliance with these Terms and all applicable federal, state, local, and international laws, regulations, and rules.

2. Scope of These Terms; Additional Agreements

2.1 Public-Facing Services

These Terms apply to Cosmick’s public-facing websites, content, online forms, digital communications, and the Cosmick Media Messaging Program.

2.2 Professional Services

If you purchase marketing, advertising, website, software, consulting, or other professional services from Cosmick, those services may be governed by a proposal, statement of work, master services agreement, order form, subscription agreement, or other written agreement. If an express conflict exists between these Terms and a separately signed agreement, the separately signed agreement controls only with respect to the subject matter of that agreement.

2.3 Privacy Policy

Our collection, use, disclosure, and protection of personal information are also governed by the Cosmick Media Privacy Policy. The Privacy Policy is incorporated into these Terms by reference. The mobile-information protections in Section 8.9 apply regardless of anything less protective stated elsewhere.

3. Limited Right to Use the Services

3.1 Limited License

Subject to these Terms, Cosmick grants you a limited, revocable, non-exclusive, non-transferable, and non-sublicensable right to access and use the Services for their intended lawful purposes.

3.2 No Transfer of Ownership

The Services are licensed for use, not sold. No right, title, or interest in the Services or any Cosmick content is transferred to you except for the limited right expressly granted in these Terms.

3.3 Changes and Availability

We may modify, suspend, restrict, or discontinue any part of the Services at any time. We do not guarantee that the Services, or any content or feature, will always be available, uninterrupted, secure, or error-free.

4. Acceptable Use

You agree that you will not, and will not assist another person to:

(a) use the Services for any unlawful, fraudulent, deceptive, harassing, threatening, abusive, defamatory, obscene, or infringing purpose;

(b) impersonate another person or entity, misrepresent your identity or affiliation, or submit false, misleading, or unauthorized information;

(c) attempt to gain unauthorized access to any account, system, network, data, or non-public area of the Services;

(d) introduce malware, viruses, malicious code, or other technology intended to disrupt, damage, monitor, or interfere with the Services or another person’s device or data;

(e) probe, scan, test, bypass, or defeat any security, authentication, rate-limit, access-control, or technological protection measure;

(f) scrape, harvest, crawl, index, copy, or extract data or content from the Services through automated means except as expressly authorized by Cosmick in writing;

(g) reverse engineer, decompile, disassemble, modify, copy, frame, mirror, sell, rent, sublicense, distribute, or create derivative works from any portion of the Services except to the limited extent such restriction is prohibited by law;

(h) use the Services to send spam, unsolicited communications, chain messages, or other unwanted content;

(i) infringe, misappropriate, or violate any intellectual property, privacy, publicity, confidentiality, or other right; or

(j) interfere with another person’s use of the Services or impose an unreasonable or disproportionately large load on the Services or their infrastructure.

5. Accounts, Forms, and User Submissions

5.1 Accurate Information

You agree to provide current, accurate, and complete information when you create an account, submit a form, request information, schedule a consultation, or otherwise interact with the Services.

5.2 Account Security

If the Services allow you to create an account, you are responsible for safeguarding your login credentials and for activity conducted through your account. Notify us promptly if you believe your account or credentials have been compromised.

5.3 Your Content

You retain ownership of content and materials you lawfully submit to the Services (“User Content”). You grant Cosmick a non-exclusive, worldwide, royalty-free license to host, store, reproduce, process, adapt, transmit, and display User Content solely as reasonably necessary to operate the Services, respond to you, fulfill your requests, protect the Services, and comply with law.

5.4 Responsibility for User Content

You represent and warrant that you have all rights and permissions necessary to submit User Content and to grant the license above. You are responsible for your User Content and for any consequences arising from it.

5.5 Feedback

If you voluntarily provide ideas, suggestions, or feedback about the Services, you grant Cosmick the unrestricted right to use that feedback without compensation or obligation to you, provided that we do not publicly identify you as the source without permission.

6. Intellectual Property

6.1 Cosmick Property

The Services and all associated software, code, designs, layouts, graphics, videos, audio, text, data compilations, logos, trademarks, service marks, trade names, workflows, and other materials supplied by Cosmick are owned by Cosmick or its licensors and are protected by intellectual property and other laws.

6.2 Restrictions

You may not use Cosmick’s name, logos, trademarks, copyrighted content, or other proprietary materials except as expressly permitted by Cosmick in writing or allowed by applicable law.

6.3 Copyright Complaints

If you believe content available through the Services infringes your copyright, contact us using the information in Section 18 and include sufficient information for us to identify the copyrighted work, the allegedly infringing material, your contact information, a statement of good-faith belief, and a statement under penalty of perjury that your notice is accurate and you are authorized to act.

7. Electronic Communications

7.1 Electronic Delivery

When you use the Services, submit an online form, or communicate with us electronically, you consent to receive records, disclosures, notices, and other communications from us electronically, subject to your communication preferences and applicable law.

7.2 Email Preferences

You may unsubscribe from marketing emails by using the unsubscribe link in the message. We may still send non-marketing communications that are necessary to respond to a request, administer an account, provide a purchased service, protect the Services, or comply with law.

7.3 Separate Mobile Consent

Consent to receive email does not by itself constitute consent to receive recurring marketing text messages. Mobile messaging is governed by Section 8.

8. Cosmick Media Messaging Program

8.1 Program Name, Sender, and Description

The “Cosmick Media Messaging Program” is a first-party SMS, MMS, RCS, and other mobile messaging program sent by or on behalf of Cosmick Media, Inc. Messages may include responses to your inquiry, consultation scheduling and reminders, customer-support communications, service or account updates, requested follow-ups, marketing insights, event information, surveys, and occasional promotions or special offers concerning Cosmick Media’s own products and services.

Cosmick does not use the program to advertise or promote a client’s, affiliate’s, partner’s, or other third party’s products or services. Transactional or informational consent does not automatically authorize promotional messages.

8.2 How You Enroll and Provide Consent

(a) You may enroll only through an affirmative, campaign-specific opt-in method presented by Cosmick, such as selecting a separate and unchecked SMS consent box on a Cosmick web form, submitting a dedicated Cosmick mobile-signup form, texting a designated keyword directly to Cosmick, scanning a Cosmick QR code and completing the stated enrollment process, or using another method that clearly identifies Cosmick and describes the messages you are requesting.

For web-form enrollment, the SMS consent disclosure will be presented prominently beside the separate checkbox and will state substantially:

“By checking this box, I agree to receive recurring customer-care and marketing SMS/MMS messages from Cosmick Media, Inc. at the number provided, including messages sent using automated technology. Message frequency varies. Message and data rates may apply. Consent is not a condition of purchase. Reply STOP to opt out or HELP for help. View our Terms of Service and Privacy Policy.”

(b) By affirmatively opting in, you provide your prior express consent—and, when marketing or promotional messages are involved, your prior express written consent—to receive recurring messages from or on behalf of Cosmick Media at the mobile number you provide. Messages may be sent using an automatic telephone dialing system or other automated technology.

(c) Your consent is voluntary and is not a condition of purchasing any property, goods, or services. The SMS consent checkbox will not be preselected and will not be required merely to submit a general inquiry or agree to these Terms.

(d) Merely providing a telephone number, without the required affirmative consent disclosure and action, does not authorize recurring marketing messages. If you initiate a text conversation with Cosmick, we may respond to that specific inquiry or conversation, but your inbound message does not by itself authorize unrelated or recurring promotional messages.

(e) Consent is specific to Cosmick Media and to the categories of messages disclosed when you enroll. Cosmick does not accept consent purportedly obtained for another sender, from purchased or rented lists, through affiliate marketing, through a third-party lead generator, or through a form that does not provide direct campaign-specific consent to Cosmick. Consent may not be bought, sold, rented, transferred, or treated as blanket consent for another sender or a materially different message subject.

8.3 Message Frequency and Charges

Message frequency varies based on your interactions with Cosmick, the programs you select, and the communications you request. The number of messages may increase during an active inquiry, consultation, event, account update, campaign, or customer-support exchange.

Message and data rates may apply. Cosmick does not charge you to enroll, but your wireless provider may charge you under your mobile plan. You are responsible for all carrier charges.

8.4 Sender Identification and Message Disclosures

Cosmick will identify itself as the sender as required by applicable law and messaging-industry rules. The initial message in a recurring messaging program will identify Cosmick Media and provide a clear opt-out instruction, such as “Reply STOP to unsubscribe.”

Messages may also include reminders that message frequency varies and that message and data rates may apply.

8.5 Opting Out and Revoking Consent

(a) You may opt out at any time by replying STOP to a Cosmick message. We also recognize standard opt-out requests such as STOPALL, UNSUBSCRIBE, CANCEL, END, QUIT, REVOKE, and OPTOUT.

(b) You may also revoke consent through any other reasonable method that clearly communicates your desire to stop, including contacting us at support@cosmickmedia.com or 866-208-5538. When using email or telephone, include the mobile number you want removed so we can identify the correct messaging record.

(c) We will honor valid opt-out and revocation requests as soon as practicable and within the time required by applicable law. Requests made through a supported reply keyword are generally processed automatically. In no event will processing exceed ten (10) business days after receipt where that legal limit applies.

(d) After you opt out, we may send one final, non-promotional message confirming that your request has been processed. We will not send further messages covered by the revoked consent unless you later provide new, legally sufficient consent.

(e) Unless you clearly limit a request and applicable law permits the narrower treatment, a reasonable request to revoke consent will be applied to all future automated calls and texts from Cosmick for which your consent is required. Where different categories of messages are involved, we may send one non-promotional clarification message as permitted by law. If you do not affirmatively confirm that you wish to continue receiving a category of messages, we will treat your request as applying to all consent-based automated calls and texts from Cosmick.

(f) Opting out of mobile messages does not prevent us from responding through a different channel when you separately request contact, from sending communications that do not require consent where permitted by law, or from communicating as necessary to provide a service you have requested. We will nevertheless honor any broader legally valid do-not-contact request.

8.6 Help and Support

Reply HELP to a Cosmick message for assistance. You may also contact us at support@cosmickmedia.com or 866-208-5538.

A HELP response may identify Cosmick Media, briefly describe the messaging program, provide support contact information, and repeat instructions for opting out.

8.7 Number Ownership and Reassignment

You represent that you are the subscriber or customary user of the mobile number you provide and that you are authorized to consent to messages at that number. If you change, deactivate, transfer, or relinquish the number, you agree to opt out or notify us promptly. You may not enroll a number belonging to another person without that person’s authorization.

8.8 Delivery and Carrier Disclaimer

Mobile message delivery is subject to effective transmission by your wireless provider and other third-party networks and service providers. Delivery is not guaranteed and messages may be delayed, filtered, or undelivered.

Cosmick and participating wireless carriers are not liable for delayed or undelivered messages to the fullest extent permitted by law. Supported carriers, message formats, sending numbers, short codes, and messaging features may change without notice.

8.9 Mobile Information Privacy; No Third-Party or Affiliate Marketing

(a) Cosmick will not sell, rent, buy, or transfer your mobile telephone number, mobile opt-in information, or mobile messaging consent.

(b) Cosmick will not share or otherwise disclose your mobile telephone number, mobile opt-in information, or mobile messaging consent to any third party or affiliate for marketing or promotional purposes, including marketing conducted by Cosmick on behalf of a client.

(c) We may provide mobile information to communications service providers, messaging platform providers, telecommunications carriers, aggregators, hosting providers, and security providers only when they process the information on Cosmick’s behalf and solely as reasonably necessary to deliver and support the Messaging Program, maintain security, prevent fraud or abuse, troubleshoot delivery, keep consent and suppression records, or comply with law.

These operational processors may not use mobile information for their own marketing or for marketing by any third party or affiliate.

(d) Text-message originator opt-in data and consent will not be shared with any third parties for marketing or promotional purposes. The foregoing excludes text-messaging originator opt-in data and consent from any other data-sharing provision that might otherwise be interpreted more broadly.

(e) We may disclose information when required by law, legal process, or a valid governmental request, or when reasonably necessary to protect rights, safety, and security.

8.10 Consent and Suppression Records

Cosmick may retain records showing the date, time, source, method, disclosures, and scope of your consent; messaging activity; HELP requests; and opt-out or revocation requests.

We may retain suppression records as reasonably necessary to ensure that an opted-out number is not inadvertently re-enrolled without new consent and to demonstrate compliance with law and industry requirements.

8.11 Messaging Conduct

You may not use two-way messaging with Cosmick to transmit unlawful, fraudulent, abusive, threatening, harassing, obscene, infringing, malicious, or deceptive content; malware; phishing content; or sensitive information that we have not expressly requested.

We may block or report abusive or unlawful messaging activity.

8.12 Program Changes or Termination

Cosmick may change, suspend, or terminate the Messaging Program, its content, its frequency, or the number used to send messages. A material change in the subject matter of recurring messages will not expand your consent; we will obtain any new consent required by law.

Termination of the Messaging Program does not affect provisions that by their nature should survive.

8.13 Re-Enrolling

If you opt out and later want to receive messages again, you must complete a new affirmative opt-in. A prior consent does not automatically revive after an opt-out.

9. Privacy and Data Security

9.1 Privacy Policy

Please review the Cosmick Media Privacy Policy for additional information about how we collect, use, retain, and disclose personal information and the choices that may be available to you.

9.2 Security

We use reasonable administrative, technical, and organizational safeguards designed to protect information. No method of transmission or storage is completely secure, however, and we cannot guarantee absolute security.

9.3 Your Responsibilities

Do not submit sensitive personal, financial, medical, authentication, or other confidential information through a general website form or text message unless we specifically request it through an appropriate channel.

9.4 Mobile Data

If any provision of the Privacy Policy or these Terms could be interpreted to permit broader sharing of mobile opt-in data or consent, Section 8.9 controls with respect to that information.

10. Third-Party Services and Links

10.1 Third-Party Services

The Services may rely on or interoperate with hosting, analytics, communications, social media, payment, scheduling, mapping, and other technology providers. Your independent use of another provider’s service may be governed by that provider’s terms and privacy policy.

This provision does not permit Cosmick to share mobile telephone numbers, mobile opt-in information, or mobile messaging consent with a third party or affiliate for marketing or promotional purposes; Section 8.9 controls that information.

10.2 External Links

Links to third-party websites or resources are provided for convenience and do not constitute an endorsement. Cosmick does not control and is not responsible for third-party content, availability, security, products, services, or practices.

10.3 Communications Providers

Mobile messages may be processed through third-party messaging providers, aggregators, and wireless carriers. Those providers may process limited information as necessary to transmit messages, prevent abuse, maintain network security, and comply with law, subject to applicable contractual and legal restrictions.

11. Informational Content; No Guarantee of Results

11.1 General Information

Content made available through the Services is provided for general informational and marketing purposes. It is not legal, financial, tax, medical, or other regulated professional advice.

11.2 Marketing Information

Examples, estimates, case studies, testimonials, performance data, and descriptions of marketing practices do not guarantee any particular outcome. Marketing, advertising, website, search, social media, and technology results depend on numerous factors outside Cosmick’s control.

11.3 Independent Evaluation

You are responsible for evaluating information and obtaining appropriate professional advice before acting on matters involving legal, financial, regulatory, security, or other material risk.

12. Disclaimers

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICES AND ALL CONTENT, FEATURES, AND COMMUNICATIONS ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. COSMICK DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, QUIET ENJOYMENT, AND WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

COSMICK DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS; THAT DEFECTS WILL BE CORRECTED; THAT INFORMATION WILL BE COMPLETE OR ACCURATE; OR THAT USE OF THE SERVICES WILL PRODUCE ANY PARTICULAR RESULT.

SOME JURISDICTIONS DO NOT ALLOW CERTAIN WARRANTY DISCLAIMERS. IN THOSE JURISDICTIONS, THE DISCLAIMERS APPLY ONLY TO THE MAXIMUM EXTENT PERMITTED BY LAW.

13. Limitation of Liability

13.1 Excluded Damages

TO THE FULLEST EXTENT PERMITTED BY LAW, COSMICK AND ITS OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AFFILIATES, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES; LOSS OF PROFITS, REVENUE, BUSINESS, OPPORTUNITY, GOODWILL, USE, OR DATA; OR COST OF SUBSTITUTE SERVICES, ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

13.2 Liability Cap

TO THE FULLEST EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF COSMICK AND THE PARTIES IDENTIFIED ABOVE FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE PUBLIC-FACING SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID DIRECTLY TO COSMICK FOR THE SPECIFIC PUBLIC-FACING SERVICE GIVING RISE TO THE CLAIM DURING THE SIX (6) MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY OR (B) ONE HUNDRED U.S. DOLLARS (US $100).

13.3 Exceptions

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited. Rights and remedies under separately signed professional-services agreements remain governed by those agreements.

14. Indemnification

To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless Cosmick and its owners, officers, directors, employees, contractors, affiliates, licensors, and service providers from and against third-party claims, actions, damages, judgments, losses, liabilities, costs, and expenses, including reasonable attorneys’ fees, arising out of or relating to:

(a) your unlawful or unauthorized use of the Services;

(b) your User Content;

(c) your violation of these Terms; or

(d) your violation of another person’s rights.

Cosmick may assume control of the defense of a matter subject to indemnification, and you agree to cooperate reasonably. You may not settle a claim in a manner that admits fault by or imposes obligations on Cosmick without Cosmick’s written consent.

15. Suspension and Termination

15.1 By Cosmick

We may restrict, suspend, or terminate your access to all or part of the Services if we reasonably believe you violated these Terms, created risk or potential legal exposure, engaged in fraud or abuse, or if suspension is necessary to protect the Services, users, or third parties.

15.2 By You

You may stop using the Services at any time. You may opt out of the Messaging Program as described in Section 8.5 and unsubscribe from marketing email as described in Section 7.2.

15.3 Effect

Upon termination, the limited right granted to you under Section 3 ends. Provisions that by their nature should survive will survive, including provisions concerning intellectual property, feedback, privacy and suppression records, disclaimers, limitation of liability, indemnification, dispute resolution, and general terms.

16. Governing Law and Venue

These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to conflict-of-law principles.

Any dispute, claim, or legal action arising out of or relating to the Services or these Terms must be brought exclusively in the Court of Common Pleas of Northampton County, Pennsylvania, or, if federal jurisdiction exists, the United States District Court for the Eastern District of Pennsylvania.

Each party consents to the personal jurisdiction of those courts and waives objections based on venue or forum non conveniens.

This section does not prevent either party from seeking appropriate injunctive or equitable relief in a court of competent jurisdiction to protect intellectual property, confidential information, security, or against unauthorized access or abuse.

17. General Terms

17.1 Changes to These Terms

We may update these Terms from time to time. The updated version will be posted with a revised “Last updated” date.

If a change materially reduces your rights or materially expands the Messaging Program, we will provide any additional notice or obtain any new consent required by law. Changes to these Terms do not retroactively expand the scope of your mobile messaging consent.

17.2 Assignment

You may not assign or transfer these Terms or any right under them without Cosmick’s prior written consent.

Cosmick may assign these Terms in connection with a merger, acquisition, corporate reorganization, sale of assets, or by operation of law, subject to applicable privacy and consent restrictions. Mobile messaging consent will not be sold or transferred for another party’s independent marketing.

17.3 Severability

If any provision is held invalid or unenforceable, it will be enforced to the maximum extent permitted, and the remaining provisions will remain in effect.

17.4 Waiver

A failure to enforce a provision is not a waiver of the right to do so later. A waiver is effective only if in writing and signed by an authorized representative of Cosmick.

17.5 No Third-Party Beneficiaries

Except as expressly stated, these Terms do not create rights for any third party.

17.6 Force Majeure

Cosmick is not liable for delay or failure caused by events beyond its reasonable control, including natural disasters, governmental actions, labor disputes, war, terrorism, epidemics, power outages, internet failures, telecommunications failures, carrier actions, platform outages, or cyberattacks, except where liability cannot lawfully be excluded.

17.7 Entire Agreement

These Terms, the Privacy Policy, and any additional terms expressly incorporated by reference constitute the entire agreement between you and Cosmick concerning the public-facing Services.

They supersede prior or contemporaneous communications concerning that subject. Separately signed professional-services agreements remain governed by their own terms.

17.8 Headings

Headings are for convenience only and do not affect interpretation.

18. Contact Us
